3. The Send Proud Guarantee
We heavily market a zero-risk, outcome-based guarantee. However, the specific metrics, target definitions, and refund conditions of this guarantee are explicitly defined and governed by the individual Statement of Work (SOW) or Client Agreement signed prior to the launch of any campaign.
- The guarantee is only valid if the client adheres to all onboarding requirements, provides timely approvals, and does not interfere with the agreed-upon campaign infrastructure.
- If a refund is triggered under the terms of the signed SOW, it will be processed according to the timeline specified in that agreement.
4. Client Responsibilities
By engaging Send Proud, you represent and warrant that:
- You have the legal authority to bind your company to these Terms.
- The products, services, and content you instruct us to promote are legal, accurate, and do not infringe on the intellectual property rights of any third party.
- You will provide timely feedback and approvals required to execute the 30-day sprints. Delays on the client's end may impact the timeline and validity of the guarantee.
5. Data Privacy and Outreach Compliance
Send Proud utilizes a proprietary network of B2B contact data. We are committed to complying with applicable B2B marketing regulations (including CAN-SPAM).
- When conducting outreach on your behalf, we act as a data processor.
- Any leads, meetings, or pipeline data generated during your campaign will be handed off to your team. You are strictly responsible for ensuring your ongoing communication with these leads complies with applicable data protection laws (such as GDPR, CCPA, etc.) in your respective jurisdiction.
6. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, methodology, and software, is the property of Send Proud LLC and is protected by United States and international copyright laws. You may not reproduce, distribute, or create derivative works from our content without explicit written permission. Campaign messaging, strategy, and copy developed during a sprint remain the intellectual property of Send Proud unless otherwise transferred in a written agreement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Send Proud LLC, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

- Any conduct or content of any third party on the services.
- Any unauthorized access, use, or alteration of your transmissions or content.
8. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any disputes arising from or relating to these Terms or the services provided by Send Proud LLC shall be subject to the exclusive jurisdiction of the state and federal courts located in Lexington, Kentucky.
